Articles of Incorporation and By-Laws
Alliance Select Foods International, Inc. (ASFII) is governed by its articles of incorporation and by-laws. These serve as a guide for the board in setting the structure and strategies of the Company. The Articles of Incorporation state the name, purpose, location, incorporators, capital stock, and term of the company upon its establishment. The By-Laws outline the rules on annual and special meetings, voting, quorum, notice of meeting, procedures for qualification, nomination, election, functions and compensation of the directors and officers, among others.
ASFII’s policies, rules and processes are consistent with its By-Laws and Articles of Incorporation.
